Terms of Service
The terms governing your access to and use of the Unity website and Services. Last updated: June 27, 2026
1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the unityhealth.ai website and related services (collectively, the "Services") provided by Unity Population Health ("Unity," "we," "us," or "our"). By accessing the Services, you agree to these Terms. If you do not agree, do not use the Services. Production use of the Unity platform by a customer organization is governed by a separate written agreement (a "Master Services Agreement" or "MSA") and Business Associate Agreement (BAA), which control over these Terms to the extent of any conflict.
2. The Services
Unity provides an Agentic AI population health management platform and an informational website. We may modify, suspend, or discontinue any part of the Services at any time. The website is provided for general informational purposes and does not constitute medical, legal, or professional advice.
3. Eligibility & Accounts
The Services are intended for healthcare organizations and authorized business users. If you access the Services on behalf of an organization, you represent that you are authorized to bind that organization. You are responsible for maintaining the confidentiality of any credentials and for all activity under your account.
4. Acceptable Use
You agree not to: (a) use the Services in violation of any law or regulation; (b) attempt to gain unauthorized access to the Services or related systems; (c) interfere with or disrupt the integrity or performance of the Services; (d) reverse engineer or copy the Services except as permitted by law; or (e) use the Services to transmit malicious code or infringe the rights of others.
5. Customer Data & Protected Health Information
As between the parties, customer organizations retain all rights to the data they submit to the Services. Where the Services process protected health information (PHI) and an executed BAA is in place, Unity acts as a Business Associate under HIPAA, and such processing is governed by the BAA and our HIPAA Notice. Unity processes customer data only to provide the Services and as otherwise permitted by the applicable agreement.
6. Intellectual Property
The Services, including all software, content, and trademarks, are owned by Unity or its licensors and are protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services as permitted herein and under any applicable agreement. No other rights are granted.
7. Third-Party Services
The Services may integrate with third-party systems such as electronic health records and practice-management platforms. Your use of those systems is governed by their own terms, and Unity is not responsible for third-party services.
8. Disclaimers
Except as expressly stated in a written agreement, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Unity does not warrant that the Services will be uninterrupted or error-free.
9. Limitation of Liability
To the maximum extent permitted by law, Unity will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or related to the Services. Unity's aggregate liability is limited as set forth in the applicable written agreement.
10. Indemnification
You agree to indemnify and hold Unity harmless from claims arising out of your misuse of the Services or violation of these Terms, except to the extent caused by Unity's own breach.
11. Term & Termination
We may suspend or terminate your access to the Services if you violate these Terms or as otherwise permitted under an applicable agreement. Provisions that by their nature should survive termination will survive.
12. Governing Law
These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws principles, and any disputes will be resolved in the state or federal courts located in Ohio, unless a written agreement provides otherwise.
